1. 3.7 – There are no specific limitations on the scope of this report.
2. 4.2 – According to the Towngas Annual Report 2011 – Corporate Governance Report, the roles of
Chairman of the Board of Directors and Managing Director are segregated and are not performed
by the same individual.
3. 4.7 – According to the Towngas Annual Report 2011 – Corporate Governance Report, the
nomination and selection of a Director is performed by the full Board. Proposed new Directors are
selected based on skills and experience that, in the opinion of the Directors, will enable them to
make a positive contribution to the performance of the Board.
4. 4.10 – Although Towngas does not have formal processes for evaluating the performance of the
Board, the full Board is responsible for nominating and selecting a new Director. The Board also
reviews its composition to ensure that it has a balance of knowledge and experience appropriate for
